Terms of Service

By accessing or using StackTrax ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and StackTrax Inc.

If you are using the Service on behalf of an organization (such as a poker club), you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

StackTrax provides a comprehensive poker room management platform including:

• Cloud-based poker room management software
• Table and tournament management systems
• Player tracking and analytics
• Waitlist and seating management
• Payment processing integration
• Advertising and membership services
• Social networking features

Important: StackTrax is a software platform only. We do not operate poker games, process gambling transactions, or provide gambling services. Individual clubs are responsible for their own operations and compliance with applicable laws.

To use StackTrax, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Comply with all applicable federal, state, and local laws

Age verification is required. By using the Service, you certify that you meet all eligibility requirements.

Account Creation: You must create an account to access certain features. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access
• Ensuring your account information is accurate and current

Account Security: You must use a strong password and enable two-factor authentication when available. We are not liable for losses resulting from unauthorized account access.

One Account Per Person: Each person may maintain only one account. Multiple accounts may be terminated without notice.

You agree to use the Service in a lawful and respectful manner. You will not:

• Violate any applicable laws or regulations
• Infringe on others' intellectual property rights
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Harass, threaten, or abuse other users
• Impersonate any person or entity
• Collect user data without consent
• Use automated systems to access the Service (scraping, bots)

The following activities are strictly prohibited:

• Money Laundering: Using the platform for illegal financial transactions
• Fraud: Providing false information or engaging in deceptive practices
• Underage Use: Allowing persons under 18 to use the Service
• Illegal Gambling: Operating or participating in illegal gambling activities
• Collusion: Conspiring with others to gain unfair advantages
• Account Sharing: Allowing others to use your account
• Commercial Use: Using the Service for unauthorized commercial purposes

Violation of these prohibitions may result in immediate account termination and legal action.

Our Rights: All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and design, are owned by StackTrax and protected by copyright, trademark, and other intellectual property laws.

Your License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the software
• Remove copyright or proprietary notices
• Sell, rent, lease, or sublicense access

User Content: You retain ownership of content you submit. By submitting content, you grant us a worldwide, royalty-free license to use, display, and distribute it in connection with the Service.

Subscription Services: Some features require paid subscriptions. By subscribing, you agree to:

• Pay all fees at the prices in effect
• Provide current, complete payment information
• Allow us to charge your payment method
• Pay all applicable taxes

Billing: Subscriptions are billed in advance on a recurring basis. Your subscription will automatically renew unless cancelled at least 24 hours before the renewal date.

Refunds: Fees are non-refundable except as required by law or as specified in writing. We may offer promotional credits or refunds at our sole discretion.

Price Changes: We may change subscription prices with 30 days notice. Continued use after price changes constitutes acceptance.

You agree to indemnify, defend, and hold harmless StackTrax, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your infringement of third-party rights
• Any content you submit or share
• Your poker room operations (if applicable)

This indemnification obligation survives termination of your account and these Terms.

By You: You may terminate your account at any time by contacting support. Paid subscriptions will not be refunded.

By Us: We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in prohibited activities
• Fail to pay fees
• Provide false information
• Pose a security or legal risk

Effect of Termination: Upon termination:

• Your right to use the Service immediately ceases
• We may delete your data after 90 days
• You may request a data export within 30 days
• Provisions regarding liability, indemnification, and disputes survive

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information.

By using the Service, you consent to our data practices as described in the Privacy Policy. Key points:

• We collect personal and usage information
• We use data to provide and improve the Service
• We may share data with service providers
• You have rights to access, correct, and delete your data
• We implement industry-standard security measures

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• We will notify you via email or in-app notification
• Material changes will be effective 30 days after notification
• Continued use after changes constitutes acceptance

If you do not agree to changes, you must stop using the Service and may request account deletion.

Governing Law: These Terms are governed by California law, excluding conflict of law principles.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.
